WHAT HAS HAPPENED?
UTC Fire & Security has announced that the Australian businesses Chubb Security Personnel Pty Ltd, Chubb Mobile Services Pty Ltd and MSS Security Group Pty Ltd (the “guards and patrols businesses”) have been divested to Security and Intelligence Services (SIS), effective end of July 2008.

WHO IS THE BUYER?
Established in 1974, SIS is a security services company that provides manned guarding, recruitment and training, consulting and investigation services. SIS employs and manages over 30,000 staff. More information about SIS can be found at www.sisindia.com.

WHY IS UTC FIRE & SECURITY SELLING THE BUSINESS?
The sale is part of UTC Fire & Security’s strategy of focusing on the technology content of products and services it offers to customers in key geographies. 

WHAT WILL BE THE FOCUS OF CHUBB AUSTRALASIA POST DIVESTMENT?
Chubb will continue to offer a range of sophisticated electronic security solutions through Chubb Electronic Security and Chubb Home Security, transport customer valuables throughout Australia through its cash logistics business Chubb Security Services and provide a full range of fire detection, suppression and fire fighting products and services through its Chubb Fire Safety business.   For more information on these services call Chubb Electronic Security or Chubb Home Security on 13 15 98, Chubb Security Services on (02) 9428 7111 and Chubb Fire Safety on 1300 369 309.

WILL THE GUARDING AND PATROLS BUSINESSES MANTAIN THE CHUBB BRAND?

Post the divestment, the guards and patrols businesses will trade as Chubb Protective Services. The trading name of Chubb Protective Services will change in the future, and you will be advised accordingly by the guards and patrols business.

WHAT CHANGES IF YOU ARE A CUSTOMER OF CHUBB FIRE SAFETY, CHUBB SECURITY SERVICES, CHUBB ELECTRONIC SECURITY OR CHUBB HOME SECURITY?

Nothing changes.  This change to the guards and patrols businesses in Australia will have no impact on the services Chubb Fire Safety, Chubb Security Services, Chubb Electronic Security and Chubb Home Security provides to you. It is business as usual.  The focus is to continue to provide high quality services to you. There are no changes to payment procedures for services provided by these businesses. 

If we provide you Alarm Response Services (e.g. a security guard responds when your alarm is activated), as a result of the sale of the guards and patrols business, you will see changes to the security guard uniforms over a period of time.

HOW WILL THIS AFFECT CUSTOMERS WHO RECEIVE GUARDS AND PATROLS SERVICES?
The focus is on continued customer service and business as usual. However there will be minimal changes relating to administrative and financial procedures (e.g. billing).  The following changes to payment procedures will apply to invoice payments for services provided by Chubb Protective Services, effective 1 August 2008:

These changes apply to any invoice payment that you make from 1 August 2008 for guards and patrols services (including any invoices that are currently outstanding). 

Payment procedures for services specifically provided to you will be outlined on the remittance slip of your invoice.  Please refer to your current invoices for the contact numbers and addresses for correspondence.  Any change to contact numbers and addresses for correspondence for Chubb Protective Services will be advised at a later date.    Please make payments only in accordance with payment procedures outlined in your invoice.  A number has also been set up to assist in answering payment related questions and directing questions that customers may have – please call 1800 838 400.

HOW ARE CUSTOMERS WHO USE BOTH RETAINED AND DIVESTED SERVICES AFFECTED?
Business as usual. The focus is to continue to provide high quality services to you.  Services will continue to be delivered as per customer contracts, management from both retained and divested businesses have been working together to ensure continuation of services.  Changes to administration processes will be communicated to customers. 

WHO WILL HAVE RESPONSIBILITY FOR CUSTOMER RELATIONSHIPS?
The guards and patrols businesses will be responsible for customer relationships where guards and patrols services are provided.    Chubb will be responsible for customer relationships where services are provided by Chubb Business Units (including Chubb Fire Safety, Chubb Security Services, Chubb Electronic Security, Chubb Home Security).   Any rights and obligations under your existing contractual arrangements with Chubb Security Personnel Pty Ltd, Chubb Mobile Services Pty Ltd, MSS Security Group Pty Ltd and Chubb Australasia business units will remain in effect.

HOW ARE SUPPLIERS AFFECTED?
The guards and patrols businesses will be responsible for supplier relationships, including payment, supplier selection and negotiation for services provided to the guards and patrols businesses.  Any rights and obligations under existing contractual arrangements with the guards and patrols businesses will remain in effect until any changes between the parties are agreed in writing. 

Chubb will be responsible for supplier relationships, including payment, supplier selection and negotiation for services provided to Chubb Business Units including Chubb Fire Safety, Chubb Electronic Security, Chubb Home Security, Chubb Security Services and Chubb Australian Head Office.   Any rights and obligations under existing contractual arrangements Chubb Business Units will remain in effect.
